Terms & Conditions

These Terms & Conditions ("Agreement") constitute a legally binding contract between you ("Customer", "you", "your") and Matrixgrow Consultancy ("Matrixgrow", "we", "us", "our"), a business operating in Hyderabad, Telangana, India. By creating an account, accessing, or using any Matrixgrow ERP platform (including Gym ERP, Hostel ERP, School ERP, Turf ERP, or Paid Parking ERP), you confirm that you have read, understood, and agree to be bound by this Agreement.

1. Acceptance of Terms

By clicking "Create Account", "I Agree", or by accessing any Matrixgrow ERP service, you acknowledge that you have read this Agreement and consent to its terms on behalf of yourself and, where applicable, the organisation you represent. If you do not agree to these terms, you must not register for or use any Matrixgrow service.

We record your consent at the time of registration, including the policy version accepted, the timestamp of acceptance, and your registered email address. We reserve the right to update these terms. Continued use of our services after a policy update constitutes acceptance of the revised terms. We will notify registered customers of material changes via email at least 14 days in advance.

2. Eligibility & Registration

To use Matrixgrow services, you must: (a) be at least 18 years of age; (b) represent a legally constituted business, institution, or organisation; (c) have the authority to bind your organisation to this Agreement; and (d) not be prohibited from using our services under applicable Indian law.

During registration, you must provide accurate and complete information including your organisation name, a valid business email address, contact phone number, and a unique workspace identifier. Your workspace ID becomes part of your dedicated ERP URL and cannot be changed after registration. Each workspace is assigned to one organisation only.

Matrixgrow reserves the right to verify registration details, reject applications, and manually approve or suspend accounts at its sole discretion. New accounts are placed in "Pending Approval" status until activated by our team. The service becomes active only after successful approval and receipt of the applicable subscription fee.

3. Account Security

You are solely responsible for maintaining the security and confidentiality of your workspace login credentials, including your email address and password. You agree to:

  • Choose a strong password of at least 8 characters with a mix of letters and numbers
  • Not share your password with any unauthorised person
  • Log out from shared or public devices after each session
  • Promptly notify Matrixgrow of any suspected unauthorised access to your account
  • Not attempt to access another organisation's workspace

Matrixgrow will not be liable for any loss or damage arising from your failure to comply with these security obligations. Where available, we strongly encourage enabling multi-factor authentication on your account.

4. Acceptable Use Policy

Matrixgrow services are provided exclusively for legitimate business management purposes. You agree to use the platform only to manage your own organisation's operations (including member/student/tenant/vehicle records, billing, attendance, scheduling, payments, and reports) within the scope of the ERP module you have subscribed to.

You must not use Matrixgrow services to store or process data belonging to third-party organisations without their explicit written consent. Sub-licensing or re-selling access to your workspace is strictly prohibited.

5. Prohibited Activities

You must not, and must not permit others to:

  • Upload, transmit, or store any content that is illegal, defamatory, fraudulent, or violates the rights of any third party
  • Attempt to reverse-engineer, decompile, disassemble, or derive the source code of any Matrixgrow software
  • Interfere with or disrupt the integrity, availability, or performance of the platform or its infrastructure
  • Conduct automated scraping, crawling, or bulk extraction of data from the platform
  • Introduce malware, viruses, or any other harmful code into the system
  • Impersonate another user, organisation, or Matrixgrow personnel
  • Use the platform in a manner that violates applicable Indian law, including the Information Technology Act 2000 and the Digital Personal Data Protection Act 2023
  • Attempt to gain unauthorised access to another customer's isolated workspace
  • Use the platform to process financial data for money laundering or fraudulent transactions

Violation of this section may result in immediate suspension or termination of your account without refund, and may be reported to the appropriate law enforcement authorities.

6. Data Ownership

Your data belongs to you: always.

All data that you input into your Matrixgrow workspace (including but not limited to member records, student information, resident details, vehicle data, transaction records, attendance logs, and documents) is and remains your exclusive property. Matrixgrow acts solely as a technology service provider and data processor on your behalf.

We do not claim any ownership, licence, or right over your business data beyond what is strictly necessary to provide the contracted service. We will not use your data for advertising, analytics profiling, or any purpose not directly related to operating your ERP workspace.

7. Tenant Isolation

Each Matrixgrow customer organisation is provisioned with a logically isolated workspace with a unique workspace identifier. Data from one workspace is never shared with, visible to, or accessible by another workspace or organisation. Our multi-tenant architecture enforces strict Row-Level Security (RLS) policies and workspace-scoped database partitioning at the infrastructure level.

If you require additional branches or departments, each must be registered as a separate workspace account. There is no cross-organisation data sharing within our platform.

8. Subscription & Billing

Matrixgrow operates on a subscription-based model. Subscription fees, billing cycles, and included module features are agreed upon individually during the onboarding consultation and confirmed in writing prior to account activation. All prices are quoted in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.

Subscriptions are billed monthly or annually as agreed. Payment must be received in advance for each billing period. Failure to pay by the due date may result in service suspension after a grace period of 7 days following the due date.

Matrixgrow reserves the right to revise its pricing. We will provide at least 30 days' written notice before any pricing change takes effect. Continued use of the service after the effective date of a price change constitutes acceptance of the new pricing.

9. Refund & Cancellation Policy

Cancellation: You may cancel your subscription at any time by contacting our support team. Cancellation requests must be submitted at least 15 days before the next billing date to avoid being charged for the next period.

Refunds: Matrixgrow does not offer refunds for subscription fees already paid, except in the following circumstances: (a) a material service outage or failure attributable to Matrixgrow that exceeds 72 consecutive hours; (b) billing errors caused by Matrixgrow. All refund requests must be submitted in writing within 10 days of the billing date. Approved refunds will be processed within 14 working days.

Setup fees, onboarding charges, and customisation costs are non-refundable once work has commenced.

10. Service Suspension & Termination

Matrixgrow may suspend or terminate your account immediately and without prior notice if:

  • You breach any provision of this Agreement
  • Your subscription payment remains overdue for more than 15 days
  • We reasonably suspect fraudulent, abusive, or illegal activity on your account
  • We are required to do so by law or a court order

You may terminate this Agreement at any time by cancelling your subscription and requesting account deletion. Upon termination, your workspace will be deactivated and access will be revoked. Your data will be retained for 30 days after termination, during which you may request a full data export. After 30 days, all workspace data will be permanently deleted.

11. Data Retention & Export

During an active subscription, your data is retained indefinitely for as long as your workspace is active. Following cancellation or termination, your data will be held for a 30-day grace period.

Data Export: You have the right to export your data at any time during an active subscription. Data exports can be requested by contacting our support team or using the export features available within your ERP dashboard. We provide exports in standard formats (CSV, Excel, PDF) within 5 working days of a valid request.

12. Intellectual Property

All software, code, user interface design, documentation, brand names, trademarks, and other intellectual property comprising the Matrixgrow platform are owned exclusively by Matrixgrow Consultancy and are protected under applicable Indian intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Matrixgrow software solely for your internal business management purposes during the term of your subscription. This licence does not include the right to copy, modify, distribute, sell, sublicense, or create derivative works from any Matrixgrow software.

13. Confidentiality

Each party agrees to keep confidential all non-public information received from the other party in connection with this Agreement. Matrixgrow will not disclose your business data, operational metrics, or confidential organisational information to any third party except as required to provide the contracted service, or as required by law.

Our employees and contractors with access to customer data are bound by confidentiality agreements and operate under a strict need-to-know access control policy.

14. Security & Backups

Matrixgrow implements industry-standard technical and organisational security measures to protect your data, including:

  • AES-256 encryption of data at rest
  • TLS 1.3 encryption of all data in transit
  • Role-based access control (RBAC) limiting employee access to the minimum necessary
  • Audit logging of all administrative actions and data access events
  • Automated daily backups retained for a minimum of 30 days
  • Multi-tenant Row-Level Security (RLS) at the database level

While we take all reasonable precautions, no system is 100% secure. We will notify you promptly in the event of a data breach that affects your workspace, in accordance with applicable law.

15. Service Availability

Matrixgrow targets a service availability of 99.9% uptime, measured on a monthly basis, excluding scheduled maintenance windows. Scheduled maintenance will be performed outside peak business hours (typically between 01:00 AM and 05:00 AM IST) and will be communicated at least 24 hours in advance where possible.

Matrixgrow is not liable for downtime caused by third-party infrastructure providers (such as cloud hosting or internet providers), force majeure events, or actions taken by you that impair service access.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Matrixgrow's total aggregate liability to you for any claims arising out of or related to this Agreement shall not exceed the total subscription fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.

Matrixgrow shall not be liable for any indirect, incidental, special, punitive, or consequential damages (including loss of revenue, loss of business, loss of data, or business interruption) even if advised of the possibility of such damages.

The platform is provided "as-is" and "as-available". Matrixgrow makes no warranties (express, implied, or statutory) regarding fitness for a particular purpose or uninterrupted error-free operation.

17. Force Majeure

Matrixgrow shall not be in breach of this Agreement or liable for delay or failure to perform any obligation due to circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, floods, fire, war, terrorism, pandemics, government restrictions, internet outages, power failures, or failures of third-party service providers (including cloud infrastructure providers). We will endeavour to resume normal service operations as quickly as reasonably possible.

18. Third-Party Services

Matrixgrow may integrate with or rely upon third-party services including cloud infrastructure providers, SMS/WhatsApp communication services, and email delivery platforms. Your use of such integrations may be subject to the respective third parties' terms and privacy policies.

Matrixgrow is not responsible for the actions, availability, or data-handling practices of third-party service providers. Any data shared with a third party for service delivery is governed by our Privacy Policy and the applicable data processing agreements with those providers.

19. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India.

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days from written notice of the dispute.
